Public Offer for Freight Forwarding Services
This document is an official offer (public offer) of Catalina Direct Forwarding (hereinafter referred to as the "Contractor" or "Forwarder"), addressed to any legal entity or individual entrepreneur (hereinafter referred to as the "Customer" or "Client"), to conclude an Agreement for the provision of freight forwarding services on the terms set forth below.
1. General Provisions
1.1. In accordance with Articles 633 and 641 of the Civil Code of Ukraine, this document is a public contract, and in case of acceptance of the conditions set out below, the person accepting this offer becomes the Customer.
1.2. Acceptance of this offer is considered to be filling out the application form on the website https://www.catalina.com.ua/en, confirming the order by email, or paying the invoice issued by the Contractor.
2. Subject of the Agreement
2.1. The Contractor undertakes, for a fee and at the Customer's expense, to provide or organize the provision of freight forwarding services related to the organization of international and domestic transportation of exclusively commercial cargo (by road, sea, air, or rail).
2.2. Attention: The Contractor does not provide services for the transportation of personal belongings and the organization of household moving for individuals.
2.3. The Customer undertakes to provide the Contractor with complete and reliable information about the cargo, its properties, conditions of transportation in a timely manner, as well as to pay for the Contractor's services in full.
3. Order Procedure
3.1. The Customer leaves a request on the website, specifying the route, cargo parameters, desired deadlines, and the need for customs clearance.
3.2. Based on the request, the Contractor develops the optimal logistics route and forms a commercial offer.
3.3. After agreeing on all details, the parties agree on the terms of specific transportation (cost, terms, route), which can be formalized by additional applications or freight forwarding agreements.
4. Cost of Services and Payment Procedure
4.1. The cost of the Contractor's services is calculated individually for each request depending on the type of transport, route, dimensions, and weight of the cargo, as well as additional services (customs clearance, insurance, etc.).
4.2. Payment is made on the basis of issued invoices in the manner and within the timeframes agreed upon by the parties before the start of transportation.
5. Rights and Obligations of the Parties
- The Contractor is obliged to: organize transportation in accordance with the agreed terms, ensure the safety of the cargo during transportation (within the carrier's liability), and inform the Customer about the delivery status.
- The Customer is obliged to: provide the cargo in proper containers and packaging, provide all necessary accompanying and customs documents, and make timely payments.
6. Liability of the Parties and Force Majeure
6.1. For non-fulfillment or improper fulfillment of their obligations, the Parties shall be liable in accordance with the current legislation of Ukraine and international conventions in the field of cargo transportation (CMR, Convention for the Unification of Certain Rules for International Carriage by Air, etc.).
6.2. The Parties are exempt from liability for partial or complete non-fulfillment of obligations under this Agreement if such non-fulfillment was the result of force majeure circumstances, such as natural disasters, military actions, strikes, decisions of state authorities that directly affected the fulfillment of the terms of the agreement.
7. Dispute Resolution
7.1. All disputes and disagreements that may arise during the execution of this Agreement shall be resolved through negotiations.
7.2. If an agreement is not reached, the dispute shall be subject to judicial review in accordance with current legislation.
8. Validity Period of the Offer
8.1. This public offer comes into force from the moment it is posted on the website and is valid until it is revoked or modified by the Contractor.
8.2. The Contractor reserves the right to make changes to the terms of the offer unilaterally.
